Terms Of Use of the CryptoNanny Academy Game

These Terms of Use (“Terms”) govern your access to and use of the CryptoNanny Academy mobile application and related services (collectively, the “App” or “Service”). The App is provided by MILRICH ELECTRONICS (HK) COMPANY LIMITED (“Company”, “we”, “us”, or “our”).
By downloading, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at https://cryptonannyapp.com/privacy). If you do not agree, do not use the App.

CryptoNanny is an educational and entertainment product. The App does not provide financial, investment, legal, or tax advice. Any information in the App is general and educational and may not be accurate, complete, or up to date.
No direct money handling. 

CryptoNanny:

• does not accept deposits,
• does not process withdrawals,
• does not hold user funds,
• does not execute real-money trades, and
• is not a broker, exchange, financial institution, or investment adviser.

Virtual trading clarity. All balances, trades, rewards, and results displayed inside the App are simulated/virtual for learning and gameplay purposes unless we explicitly state otherwise in writing.
Partner exchanges. The App may link to or integrate with third-party cryptocurrency exchanges or platforms (“Partner Exchanges”) where real-money actions can occur. Any real-money transaction (including deposits, trades, and withdrawals) happens only on Partner Exchanges under their own terms, fees, and compliance requirements (including KYC/AML). We are not responsible for Partner Exchanges.
Affiliate disclosure. We may receive compensation (for example, referral fees or commissions) from Partner Exchanges when users sign up or complete qualifying actions through our links. This may help fund the App and promotions (see Section 6).
Risk disclaimer. Trading and investing involve substantial risk and can result in loss of some or all of your money. Past performance does not guarantee future results. We do not guarantee any profits or earnings.
18+ only. You must be at least 18 years old to use the App.
Regional availability. The App and certain features may not be available in all regions and may be restricted or modified to comply with local laws.

1A) CryptoNanny Academy Educational Program
CryptoNanny Academy is a structured educational and gamified learning program designed to guide users from complete beginners to knowledgeable participants in the cryptocurrency and blockchain ecosystem. The program consists of fourteen (14) sequential educational modules ("Academy Journeys") covering fundamental and advanced topics including, but not limited to:

• Cryptocurrency and blockchain fundamentals
• Wallet security and seed phrase management
• Bitcoin and Ethereum overview and explanations
• Trading basics and risk management
• Portfolio diversification strategies
• Centralized and decentralized finance (CeFi/DeFi)
• NFTs and digital assets
• Market analysis and trading psychology
• Transition to real-world trading platforms

Learning Methodology
Each Academy Journey combines:

• Theoretical content: Educational lessons, videos, quizzes, and informational materials
• Practical application: Hands-on simulated exercises using the App's virtual trading environment and gamified features

This "Learn-Practice-Progress" methodology is designed to reinforce concepts through active engagement rather than passive consumption.

Progressive Feature Unlocking
Certain features within the App are initially restricted and become accessible only as users demonstrate competence by completing relevant Academy Journeys. This design:

• Ensures users understand necessary concepts before accessing advanced features
• Reduces the risk of user confusion or misuse of complex functionality
• Creates a structured, guided learning experience

Locked features may include, but are not limited to: trading of certain cryptocurrencies, advanced order types (stop-loss, take-profit, limit orders), portfolio analytics, tournaments, and access to partner exchange integrations. Feature availability is determined solely by CryptoNanny and may change at any time.

Program Completion and Certification
Users who successfully complete all fourteen (14) Academy Journeys may receive a CryptoNanny Academy Completion Certificate ("Certificate").
You acknowledge and agree that:

• The Certificate is issued solely by CryptoNanny and is not an accreditation, license, or certification from any governmental, regulatory, financial, or educational authority;
• The Certificate does not constitute professional qualification, financial advice certification, or authorization to provide investment services;
• The Certificate represents completion of CryptoNanny's educational content and does not guarantee trading success, profitability, or any specific outcome;
• CryptoNanny reserves the right to modify, suspend, or discontinue the Certificate program at any time.

Transition to Partner Exchanges
Upon completing the Academy program, users may be offered the opportunity to transition to real-money trading through Partner Exchanges. Such transitions are subject to:

• The user's voluntary decision to engage with Partner Exchanges;
• The Partner Exchange's own terms, eligibility requirements, and KYC/AML verification processes;
• Regional availability and regulatory compliance;
• The provisions of Section 6 (Partner Exchanges, Referrals, and Promotions) of these Terms.

Partner Exchanges may, at their sole discretion, offer promotional incentives, deposit bonuses, reduced fees, or other benefits ("Graduate Benefits") to users who have completed the CryptoNanny Academy. CryptoNanny does not guarantee that any user will receive Graduate Benefits, nor the amount, timing, or availability of such benefits. All Graduate Benefits are governed entirely by the Partner Exchange's terms and policies.

Educational Disclaimer
Notwithstanding completion of any or all Academy Journeys:

• CryptoNanny does not represent that users are qualified or prepared for real-money trading;
• Past performance in virtual trading environments does not predict or guarantee results in real markets;
• Users remain solely responsible for their own trading decisions and outcomes on Partner Exchanges or any other platform;
• The App's educational content is general in nature and may not reflect current market conditions, regulatory changes, or individual circumstances.

You represent that you are at least 18 years old and have the legal capacity to accept these Terms.
The App may allow optional sign-in (for example, Google/Apple) to sync progress across devices. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial use.

You agree not to:

• use the App for any unlawful, fraudulent, or harmful purpose;
• attempt to bypass, disable, or interfere with security-related features;
• cheat, exploit bugs, manipulate leaderboards, or use bots/automation;
• reverse engineer, decompile, or attempt to derive source code (except where prohibited by law);
• copy, modify, distribute, sell, lease, or create derivative works from the App or Content;
• use the App to provide investment services or solicit investments.

We may suspend or terminate access for violations.

Any Virtual Currency, achievements, levels, and in-app rewards:

• have no cash value,
• are not legal tender,
• are not redeemable for money, cryptocurrency, or anything of monetary value from us,
• may be modified, reduced, or removed at any time, and
• may be forfeited if we suspend or terminate your access for violations.

The App may present referral links, promo codes, or calls-to-action that lead to Partner Exchanges. Partner Exchanges may, at their sole discretion, offer incentives (for example, deposit bonuses, trading fee discounts, promotional rewards, or “scholarships”) to eligible users.

You understand and agree that:

• We do not guarantee that any user will receive any bonus/scholarship or any particular amount/value.
• Eligibility, availability, timing, and conditions are determined by Partner Exchanges and may vary by country, account status, and compliance requirements.
• Any bonus/scholarship may require you to accept separate Partner Exchange terms and complete KYC/AML or other checks.
• If any promotion involves taxes, reporting, or fees, you are solely responsible for compliance and costs.
• Promotions may be changed, paused, or discontinued at any time.

The App may include links to third-party websites, services, or content (including Partner Exchanges, ad networks, analytics providers, and social platforms). Third-party services are not controlled by us, and your use of them is subject to their terms and privacy policies. We are not responsible for third-party services.

We may link to official CryptoNanny channels on third-party platforms. Your interactions with those platforms are governed by their terms and privacy policies.

7.2) Community and Conduct
We may operate community spaces or publish content on third-party platforms. You agree to engage respectfully and comply with applicable law and the platform’s rules. Do not post or share unlawful, harmful, harassing, hateful, or infringing content, and do not share sensitive personal information.
We may remove content or restrict access to community spaces at our discretion, subject to the capabilities and rules of the applicable platform.

The App may display advertisements, including personalized ads where permitted and with appropriate consent. Ad content is provided by third parties, and we are not responsible for the accuracy, legality, or content of ads. Ad availability and format may vary by region and device.

If the App offers in-app purchases or subscriptions, they are processed by the applicable app store (Google Play / Apple App Store) and subject to that store’s terms. Purchases are generally non-refundable except as required by law or the app store’s policy. We may change pricing and offerings at any time.

The App and Content are owned by the Company and/or its licensors and are protected by intellectual property laws. Except for the limited license granted above, no rights are granted to you.
If you provide feedback, suggestions, or ideas, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them without compensation.

THE APP AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP OR ANY THIRD-PARTY SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE APP OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) FOR USING THE APP IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $10, WHICHEVER IS GREATER.
NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW (FOR EXAMPLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FRAUD).

You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the App, your violation of these Terms, or your violation of any law or third-party rights.

We may suspend or terminate your access to the App at any time if we reasonably believe you violated these Terms or if we must do so to comply with law. You may stop using the App at any time.

These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the App will be subject to the exclusive jurisdiction of the courts of Hong Kong, unless applicable law requires otherwise.

We may update these Terms from time to time. Changes are effective when posted at https://cryptonannyapp.com/terms. Your continued use of the App after changes become effective means you accept the revised Terms.
